- Abuse – Any use that harasses, threatens, or harms others.
- Harassment – Repeated unwanted communications or targeting of individuals.
- Fraudulent Traffic – Generating artificial or fraudulent call traffic for any purpose.
- Scam Operations – Using our services as part of any scam, deceptive scheme, or fraudulent business practice.
- Unauthorized Recording – Recording communications without required legal consent or notification.
3. Communications Services
When using our communication products and services — including dialers, SIP services, call center solutions, and voice automation systems — you acknowledge and agree to the following:
- Service Responsibility: You are solely responsible for how you use our communication services, including all calls, messages, and communications originated through our platforms.
- Consent and Compliance: You must obtain all legally required consents and permissions for your communications, including consent for automated calling, messaging, and call recording where applicable.
- Data Accuracy: You are responsible for the accuracy of all data, lists, and contact information uploaded to our platforms.
- Infrastructure Use: You agree to use our SIP trunking, dialer, and voice infrastructure services in compliance with our acceptable use policies and all applicable laws.
- Voice Service Availability: Communication services may be affected by carrier outages, network interruptions, third-party infrastructure failures, and other factors beyond our reasonable control.
4. Customer Responsibilities
As a user of our services, you are responsible for:
- Complying with all applicable laws and regulations, including but not limited to:
- FCC Regulations – Federal Communications Commission rules and orders.
- TCPA – Telephone Consumer Protection Act and related regulations.
- State Regulations – All applicable state and local laws governing communications and telemarketing.
- International Regulations – Where applicable, compliance with international calling regulations and country-specific requirements.
- All federal, state, and local laws applicable to your use of our services.
- Maintaining the confidentiality of your account credentials.
- Ensuring that your use of our services does not violate the rights of others.
- Obtaining all necessary consents and permissions for your communications.
- Obtaining legally required consent for call recording where applicable.
5. Account Suspension and Termination
We reserve the right to suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or applicable laws
- Abusive, fraudulent, or illegal activity
- Non-payment of fees
- Actions that may cause harm to our infrastructure or other users
- Abuse, fraud, or regulatory violations involving communication services — We reserve the right to suspend voice, dialer, SIP, and communication services immediately when abuse, fraud, or regulatory violations are detected.
6. Voice Services Disclaimer
Our communication products and voice services are provided on a best-effort basis. We do not guarantee uninterrupted or error-free operation. You acknowledge that:
- Communication services may experience outages, delays, or disruptions.
- Voice quality may vary based on network conditions and internet connectivity.
- We are not liable for damages arising from service interruptions or communication failures.
7. Recording Compliance
If you use our services to record communications, you are solely responsible for:
- Obtaining all legally required consents from all parties being recorded.
- Complying with applicable wiretapping and recording laws in all relevant jurisdictions.
- Properly notifying parties that communications may be recorded, where required by law.
We provide tools and features to support recording compliance, but the legal obligation rests with you.
8. Emergency Services Disclaimer
IMPORTANT — NOT A REPLACEMENT FOR TRADITIONAL TELEPHONE SERVICES: Unless specifically stated otherwise in a written agreement, our communication services — including dialers, SIP trunking, voice automation, and call center solutions — are not intended to replace traditional telephone services and may not support emergency calling. You acknowledge and agree that:
- This service is not a replacement for traditional telephone services and should not be used as such.
- This service may not support emergency calls to 911, 999, 112, or other emergency services.
- You should maintain alternative, traditional means of accessing emergency services.
- We are not liable for any failure to access emergency services through our platform.
9. Intellectual Property
All rights, title, and interest in our products, software, websites, content, and technology are owned by EgeniusCare LLC or our licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.
10. Limitation of Liability
To the maximum extent permitted by law, EgeniusCare LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our website. Continued use after changes constitutes acceptance of the new Terms.
